Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, resident and administrator applications, hardware, and cloud services (collectively, the "Services") provided by Vivo Control, Inc. ("Vivo Control," "we," "us," or "our"). By accessing our website, submitting a request, or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a community, company, or other entity, you represent that you have authority to bind that entity.

1. Acceptance of terms

By accessing our website or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. The Services

Vivo Control provides community access-control technology — including video intercom, mobile and QR access, license-plate recognition, CCTV, and resident communications — delivered through hardware installed at a property and cloud software we operate.

Specific hardware, installation, pricing, service levels, and support are defined in the separate order form, quote, or master services agreement between Vivo Control (or its certified dealer) and the property. Where those documents conflict with these Terms, the signed agreement controls for that engagement.

3. Accounts & eligibility

Some features require an account. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. You must be at least 18 years old to create an account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to: (a) use the Services unlawfully or to enable unauthorized access to a property; (b) interfere with or disrupt the Services or supporting infrastructure; (c) reverse engineer, copy, or resell any part of the Services except as permitted by law; (d) upload malicious code; or (e) use the Services to infringe the rights of others, including privacy and intellectual-property rights.

5. Hardware, installation & dealers

Vivo Control hardware is installed by certified dealers. Title, warranty, and risk of loss for hardware are governed by your order form or the agreement with your dealer. Installation timelines and site requirements are estimates and may depend on property conditions, existing wiring, and access.

Certified dealers are independent businesses. While they are trained and authorized by Vivo Control, they are not our agents for purposes of binding Vivo Control beyond the scope of the applicable agreement.

6. Fees & payment

Fees for hardware, installation, subscriptions, and support are set out in your quote or order form. Unless stated otherwise, subscription fees are billed in advance and are non-refundable except as required by law or expressly provided in your agreement. Late amounts may accrue interest and may result in suspension of Services.

7. Intellectual property

The Services, including all software, hardware designs, text, graphics, logos, and the "Vivo Control" name and marks, are owned by Vivo Control or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose during your subscription. No other rights are granted.

8. Customer & resident data

Data submitted or generated through the Services — including property, resident, access, and video data — is handled as described in our Privacy Policy. For property and resident data, Vivo Control generally acts as a service provider / processor on behalf of the community. The community is responsible for providing required notices to, and obtaining any required consents from, its residents and visitors.

9. Service availability

We work to keep the Services available and reliable, including local-first hardware behavior designed to keep entry points operable during power or connectivity interruptions. However, the Services are provided on an "as available" basis and may be affected by maintenance, third-party networks, or events beyond our control. Uptime commitments, if any, are stated in your agreement.

10. Disclaimers

Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Vivo Control does not warrant that the Services will be uninterrupted, error-free, or that they will prevent every unauthorized access or security incident.

11. Limitation of liability

To the maximum extent permitted by law, Vivo Control and its dealers, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Vivo Control for the Services in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vivo Control and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

13. Termination

We may suspend or terminate access to the Services if you breach these Terms or your agreement, or as required by law. Termination rights, notice periods, data-return, and post-termination obligations are governed by your signed agreement. Provisions that by their nature should survive termination (including IP, disclaimers, liability limits, and indemnity) will survive.

14. Governing law

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable U.S. federal law, without regard to conflict-of-laws principles. The exclusive venue for disputes will be the courts located in San Juan, Puerto Rico, unless your signed agreement specifies otherwise.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, communicated to you. Your continued use of the Services after changes take effect constitutes acceptance.
